1. Agreement to Terms

By accessing or using the Credence platform at credencehq.com (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these Terms, please do not access or use the Service.

2. Description of Service

Credence is a continuing professional development (CPD) compliance management platform that enables licensed professionals to:

  • Track and log CPD activities and hours
  • Store and manage CPD documentation
  • Generate compliance and audit-ready reports
  • Monitor progress toward professional development requirements

3. User Accounts & Eligibility

Account Creation

You must provide accurate, complete information when creating your account. You are responsible for safeguarding your account credentials and must notify us immediately of any unauthorized use. One individual or entity is permitted per account—account sharing is prohibited.

Eligibility

  • You must be at least 18 years old.
  • You must hold a professional license or be actively pursuing professional certification.
  • You must have legal capacity to enter into this agreement in your jurisdiction.
  • Your use must comply with applicable laws and regulations.

4. Subscription Plans & Billing

Plans

  • Free Plan: Limited features as described on our pricing page.
  • Plus Plan: Full-featured access subject to stated usage limits.
  • Future Plans: Additional tiers may be introduced with advance notice.

Billing Terms

  • Subscription fees are billed in advance on a monthly or annual basis.
  • All fees are charged in Canadian dollars (CAD) unless otherwise specified.
  • Payments are processed via Stripe and are subject to Stripe's terms.
  • No refunds are provided for partial months, except at our sole discretion.

Changes to Pricing

  • We may modify subscription fees with 30 days' advance notice via email.
  • Price changes apply to subsequent billing cycles.
  • You may cancel your subscription before changes take effect.

5. Acceptable Use

Permitted Uses

  • Tracking legitimate CPD activities and professional development.
  • Secure storage of authentic professional documents.
  • Generating reports for compliance and audit purposes.

Prohibited Uses

  • Uploading false, fraudulent, or misleading CPD records.
  • Sharing account access with unauthorized individuals.
  • Attempting to bypass security measures or access controls.
  • Using the Service for any illegal or unauthorized purpose.
  • Interfering with other users' access to the Service.
  • Reverse engineering, decompiling, or extracting source code.

Professional Responsibility

You retain sole responsibility for the accuracy of your CPD records and for ensuring regulatory compliance. Credence does not independently verify document authenticity. You must maintain original copies of any documentation required by regulators.


6. Intellectual Property Rights

Our Rights

  • The Credence platform, including software, design, and content, is owned by Credence.
  • Our trademarks, logos, and brand elements may not be used without prior written permission.
  • We retain all rights not expressly granted to you under these Terms.

Your Rights

  • You retain ownership of your CPD data and uploaded documents.
  • You grant us limited rights to process your data as necessary to provide the Service.
  • You may export your data at any time in available formats.

User-Generated Content

  • You are solely responsible for content you upload or create within the Service.
  • You must ensure you have the necessary rights to upload and share any documents.
  • By uploading content, you grant Credence the rights to store, process, and display that content within the Service.

7. Privacy & Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Security

  • We implement industry-standard security measures, including AES-256 encryption at rest and TLS 1.3 in transit.
  • We perform regular security assessments and vulnerability scanning.

Data Retention

  • Your data is retained while your account is active.
  • CPD documents are retained for up to 7 years post-account closure to satisfy regulatory requirements.
  • You may request data deletion, subject to our legal obligations.

8. Service Availability & Modifications

Service Availability

  • We strive for high availability but cannot guarantee uninterrupted access.
  • Scheduled maintenance will be announced in advance when possible.
  • We are not liable for service interruptions beyond our reasonable control.

Service Modifications

  • We may add, modify, or remove features with reasonable notice.
  • Material changes affecting core functionality will be communicated via email.
  • Continued use after modifications constitutes acceptance of the updated Service.

9. Limitation of Liability

Credence is a tool to assist with CPD tracking and compliance; it does not provide legal or professional advice. You remain responsible for meeting your regulatory obligations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the fees you paid in the 12 months preceding any claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • We are not liable for loss of data, profits, or business opportunities.
  • We are not liable for third-party actions or service interruptions.

10. Indemnification

You agree to indemnify and hold Credence harmless from and against any claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Fraudulent or inaccurate information you provide.

11. Termination

Termination by You

  • You may cancel your subscription at any time via your account settings.
  • Cancellation is effective at the end of the current billing cycle.
  • You may export your data before your account is terminated.

Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use policy.
  • Fail to pay subscription fees after reasonable notice.
  • Engage in fraudulent or harmful activity.
  • Request account deletion.

Effect of Termination

  • Your access to the Service ends immediately upon termination.
  • Data is retained as outlined in our Privacy Policy.
  • Outstanding fees remain due and payable.

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflicts of law principles.

Dispute Resolution Process

  1. Direct Communication: Contact us at hello@credencehq.com to attempt informal resolution.
  2. Mediation: If informal resolution fails, you and we may agree to submit the dispute to mediation.
  3. Arbitration: If mediation is unsuccessful, disputes will be resolved by binding arbitration conducted under the Ontario Arbitration Act, 1991.
  4. Court Jurisdiction: Matters not subject to arbitration may be brought before the courts of Ontario.

13. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Credence.
  • Modifications: We may modify these Terms by posting an updated version on our website. Material changes will be communicated via email with 30 days' notice.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations to affiliates or as part of a business transfer.
  • Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
  • Survival: Provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
